Análisis jurisprudencial sobre la indemnización por clientela

Abstract

La forma contractual de colaboración independiente entre empresarios regulada por el Código de Comercio resulta a todas luces insuficiente para atender las necesidades del empresario quien, en algunas ocasiones, sí necesita una colaboración aislada, esporádica o puntual y para ello acude a la figura contractual típica de la comisión. Sin embargo, el empresario a veces necesita una relación que se prolongue en el tiempo. Para el caso del empresario productor de bienes y servicios que busca extender la comercialización de sus productos en el marco territorial, hasta el año 1992, el Derecho positivo no regula por primer vez una nueva figura, el contrato de agencia mediante la Ley 12/1992 de 27 de mayo sobre Contrato de Agencia.

The contracted form of independent collaboration between employers regulated by the Code of Commerce is clearly insufficient to meet the needs of the entrepreneur who, at times, requires an isolated, sporadic or occasional collaboration and for that goes to the typical contractual figure of commission. However, the employer sometimes needs a relationship that extends over time. For the entrepreneur producer that seeks to extend the marketing of their products in the territorial context arises the agency agreement. Until 1992, the positive law does not govern this new figure, the agency contract by Law 12/1992 of 27 May on Agency Agreement.
