Resumen: | El derecho de asistir a las Juntas Generales y de participar con su voto en la
formación de la voluntad social permite a cualquier accionista intervenir en la
gestión de la sociedad y controlar o fiscalizar la actuación de los administradores,
si bien la efectividad práctica de esta intervención dependerá, como es lógico, de
la participación del accionista en el capital social. En principio todos los
accionistas tienen derecho a asistir a las juntas generales para ejercitar los derechos
que les confiere la cualidad de socio, entre ellos, el derecho de voto; pero los
estatutos pueden limitar el derecho de asistencia a las juntas, mediante la
exigencia de la posesión de un número mínimo de acciones o condicionarlo a otros
requisitos.
El derecho de asistencia, que por lo general opera como un simple presupuesto
del derecho de voto, se presenta en ocasiones como una facultad autónoma
desvinculada de este.
Los administradores determinan con su actuación el devenir de la sociedad. The right to help the general meetings and of participating with his vow in the formation of social will permits any shareholder intervening in administration of a partnership and controlling or supervising the administrator's performance, even though the practica! effectiveness of this intervention will depend, not surprisingly, on the participation of the shareholder in the capital stock. In principie all shareholders have right to help the general meetings to exercise the duty that it confers them the quality ofbeing a member, among them, the right to vote; but statutes can narrow the right of assistance to the meetings, intervening the requirement of possession of minimal number of stock or to prepare it to another necessaries. The right of assistance, generally it runs like a simple budget of right to vote, it shows up at times like an autonomous faculty disassociated of this. The administrators determine with his performance the vicissitude of the society. Hence, the administrator' s conduct, necessarily goes to ha ve repercussions on the shareholders, on the own society and on the outsiders that they relate to each other with this one. The law, to prevent anomalous proceedings, establishes a regiment of responsibility. |
